Financial expertise and an understanding of the business
I hold the Norwegian financial analyst qualification Autorisert Finansanalytiker (AFA). I have performed valuations for KPMG corporate clients and at Subsea 7 and Humana, including assignments requiring detailed documentation and transparent assumptions.
Valuation reports are prepared to professional institutional standards, with the detail needed for scrutiny by external auditors, boards and investment committees. My leadership and operational experience helps me assess the business beyond its balance sheet and ensure normalised earnings reflect its actual earning capacity.
Make the basis for value clear
- Historical financial analysis: Adjust historical financial statements for one-off items to understand sustainable earnings on a normalised basis.
- Operational risk assessment: Examine customer concentration, dependence on key people and future capital expenditure (CapEx).
- Cash flow and working capital: Review collection and payment cycles and cash generation to understand funding needs in normal operations.
- Multiple valuation methods: Use methods appropriate to the assignment, including discounted cash flow, comparable listed companies and comparable transactions, and test sensitivity to key assumptions.
- Valuation range and value drivers: Explain the range of values and the commercial factors that influence it.
Assess the value to your business
I distinguish standalone value from synergies created specifically by your acquisition. Synergies are estimated conservatively, allowing for integration costs, investment and time to realise them. This strengthens your negotiating position and helps avoid paying the seller for value you will have to create after completion.
I also prepare a bridge from Enterprise Value to Equity Value, showing net debt, debt-like items and working capital adjustments so management can understand the components of the final purchase price.
Use valuation in decisions and negotiations
A valuation is more than a calculation; it is an important negotiating tool. I help translate financial analysis into clear price boundaries and supporting arguments.
- Internal approval: Structure decision materials for internal reviews and board discussions.
- Negotiation strategy: Explain the relationship between the asking price and intrinsic value and support an evidence-based upper price limit.
- Transaction terms: Assess how the deal structure, earnest payments and representations and warranties affect the effective acquisition price.
